Mainsoft Corporation and Rogue Wave Software enter exclusive strategic alliance agreement

in Cross-platform Solutions Becomes Sole Provider of
Rogue Wave's Stingray Controls for the Unix Platform
Sunnyvale, CA/Boulder, CO - August 9, 1999 - Mainsoft
Corporation, the leader in Windows-to-Unix cross-platform
solutions for the enterprise, and Rogue Wave Software, Inc.
(NASDAQ: RWAV), the leading provider of software solutions for
building high performance, distributed enterprise and Internet
applications, jointly announced an exclusive three-year worldwide
contract. This strategic partnership allows cross-platform, application
developers worldwide to create scalable enterprise applications on
Windows/NT and Unix. Mainsoft
will resell and support its rehosted version of Rogue Wave's
Stingray development tools for Microsoft
Foundation Classes (MFC) on Unix platforms.

Windows-to-Unix technology is a proven solution for successfully
rehosting Windows applications," said Gillian

"This alliance allows Mainsoft to become the "one-stop-shop"
for cross-platform application developers to purchase both the NT
and Unix versions of our Stingray controls directly from one
source."
Under the terms of the agreement, Mainsoft will directly license both
Unix and Windows/NT versions allowing the companies to break new
ground for cross-platform solution deployment. The Stingray tools
make it easier for application developers to create scalable
enterprise applications on Windows/NT and to rehost the solutions
onto Unix. The
Mainsoft/Rogue Wave solution offers an extensive line of add-on
libraries that extend and enhance the MFC, providing additional,
pre-built functionality for creating sophisticated GUI controls,
grids, diagrams and charts. The
Stingray MFC development tools include Objective Grid, Objective
Grid PRO, Objective Grid Lite, Objective Chart, Objective Toolkit,
Objective Toolkit PRO, Objective Edit and Objective Views.

This relationship underscores the commitment between the two companies
that began in 1998 with Stingray Software, now a division of Rogue
Wave Software, to offer popular Stingray extensions on both
Windows/NT and Unix.

In addition to all Stingray MFC extensions, Mainsoft has also been
granted the rights to resell the new line of Stingray Active
Template Library (ATL) extensions. ATL programming is gradually replacing MFC and as a result
of this agreement, Mainsoft customers will have access to the
latest and most up-to-date technology.
Mainsoft recently shipped its flagship product, MainWin version 3.3.MainWin allows developers to recompile Windows/NT source
code and run it on Unix as a native Unix program with full Windows
functionality. The
combination of MainWin and Rogue Wave's Stingray extensions is a
significant benefit for developers in improving productivity and
porting Windows applications to the Unix platform.
