Promotes Ivor Share to Executive Vice Chairman and CEO;

SUNNYVALE,
Calif.- August 16, 1999 - Mainsoft Corporation, a leader in
cross-platform development technology, today announced the
promotions of two key corporate executives, Ivor Share, formerly
president and chief executive officer (CEO), to executive vice
chairman and CEO and Yaacov Cohen, from executive vice president
and chief technology officer (CTO), to president and chief
operating officer (COO). These promotions support Mainsoft's
explosive growth and undisputed leadership of the cross-platform
development industry.

taken steps to integrate our business operations - all R&D
activities will remain centralized in our Israeli facilities while

headquarters."

Prior
to his promotion to executive vice chairman and CEO, Share served
as the president and CEO. In his new role, he will continue to
steer corporate growth and manage significant international
expansion initiatives. Share will also drive the investor
relations efforts to move the company forward with its corporate
development plans. Share joined Mainsoft in November 1996, and has
served on its board of directors since March 1997. Prior to
Mainsoft, Share founded Templar Communications, a sales and
marketing consultancy firm that included as clients, branded
companies such as Intel, On-Live Inc. and Poet Software. In 1987
Share joined Insignia Solutions and in 1988 was elected to the
board of directors. Share was named senior vice president of sales
and marketing in 1992 growing the company and its marketshare
through initiating OEM relationships and worldwide third party
distribution channels. During his tenure, Share was instrumental
in negotiating one of the first technology collaboration
agreements - known today as the WISE Agreement - with industry
bellwether, Microsoft. Share joined Mainsoft with 25 years of
extensive sales and marketing expertise in the computer industry.
Share holds a B.SC (Honors) degree in Applied Chemistry from the
University of Hertfordshire.
During
Cohen's five-year tenure, he served as Mainsoft's executive
vice president and chief technology officer, and general manager
of Mainsoft's Israel subsidiary since December 1996, where he
was responsible for all engineering and marketing operations. In
his current position as president and COO, Cohen will be
responsible for the management of both the Israeli and US
operations as well as lead Mainsoft's strategic alliances with
Microsoft and other technology vendors. Prior to joining Mainsoft,
he held lead technical positions for one of Israel's largest
software companies and the Israeli Navy Computer Center. Cohen
graduated Cum Laude with a Bachelor of Science degree in computer
science from Technion, Israel Institute of Technology.
